These Terms of Service ("Terms") govern every order placed on motov.net and the use of the services we provide: AI worker plans (Hermes and OpenClaw), the Trial Shift, and web hosting and related services.
1. Who we are
The services are provided by SHOPFILES LTD, ul. Atanas Vlaev 3, 5400 Sevlievo, Bulgaria, UIC 204350007, VAT BG204350007 ("we", "us"). You can reach us at [email protected]; sales enquiries go to [email protected].
2. Who these Terms apply to
Our services are aimed primarily at businesses, but consumers may also order. A consumer is a natural person acting for purposes outside their trade, business or profession. Where these Terms treat consumers differently, this is stated expressly. Your own general terms and conditions do not apply, even if we do not object to them.
3. Ordering and contract formation
- The services shown on the website are an invitation to order, not a binding offer.
- When you click the order button labelled "with obligation to pay", you make a binding offer. Before that you can review and correct all your details on the review step.
- The contract is formed when we confirm your order by email or start providing the service, whichever comes first.
- The contract is concluded in English or in the language you selected at checkout. We store the contract text, and you can always view the current Terms on this page. Your order details are available in your client area.
4. AI worker plans
- What you get. An AI worker is a hosted software agent, not a human employee. It is configured from the information you give in the setup interview to perform the tasks described for your plan. Capacity, channels and task coverage depend on the plan you ordered.
- Accuracy. AI-generated output can be incomplete or wrong. You decide which actions the worker may take on its own and which need human approval. You are responsible for reviewing output wherever you configured a review step, and for decisions you base on it.
- Access to your systems. We never ask for passwords or API keys during checkout. You grant access after purchase through secure channels, using the least privilege needed, and you can revoke it at any time.
- Transparency towards your contacts. Where the EU AI Act (Regulation (EU) 2024/1689) or other law requires it, people who interact with your AI worker must be told that they are dealing with an AI system. You are responsible for making sure this happens in your channels. We will configure the disclosure on request.
- Prohibited uses. You must not use an AI worker for practices prohibited under Article 5 of the AI Act. You must not use it to make decisions that produce legal or similarly significant effects for individuals without meaningful human review.
5. Trial Shift
The Trial Shift is a paid test of one AI worker for 24 hours, for a one-time fee of €19 (net). It covers one channel and up to 30 conversations, with human review switched on. It ends automatically. Nothing renews unless you upgrade to a regular plan. If you upgrade, the trial fee is credited against your first invoice, and your setup profile carries over.
6. Hosting and related services
- Resources (storage, traffic, CPU, RAM and similar) are as described in the plan you ordered. Shared plans are subject to fair use so that one account cannot degrade service for others.
- You are responsible for the content you host and for keeping the software you install up to date. We make regular backups as part of operating the platform, but they are not a substitute for your own backups.
- Domain registrations and transfers are also subject to the rules of the relevant registry. Domains are registered in your name where the registry allows it.
7. Prices and payment
- Prices are in euro (EUR) and exclude VAT. VAT is added to the invoice according to your country and status, including the EU One-Stop-Shop rules for consumers. Business customers with a valid VAT number in another EU member state are invoiced under the reverse-charge mechanism.
- Fees are invoiced in advance for each billing period (monthly or annually). One-time fees are invoiced at the time of the order. Invoices are due on receipt.
- You can pay by card through Stripe, by PayPal, or by bank transfer. We do not store your full card details.
- If an invoice stays unpaid after a reminder, we may suspend the service until it is paid. For business customers, statutory default interest under Bulgarian law applies.
8. Term, renewal and cancellation
- Subscriptions renew automatically for the same billing period unless cancelled.
- You can cancel at any time in the client area or by email to [email protected]. Cancellation takes effect at the end of the current paid period. Fees already paid for that period are not refunded, except where the law or the right of withdrawal requires a refund.
- We may terminate with 30 days' notice. Either party may terminate immediately for good cause, in particular serious or repeated breach of the acceptable-use rules below.
- After the contract ends we keep your data for 30 days so you can export it, and then delete it, unless the law requires us to keep it longer.
9. Right of withdrawal for consumers
Consumers in the EU have a statutory right of withdrawal. The details and a model form are in our Right of Withdrawal.
10. Acceptable use
You must not use our services to send unsolicited bulk messages (spam), spread malware, or run phishing or fraud. You must not infringe the rights of others, host or produce illegal content, attack or probe other systems, or get around technical limits. If you do, we may block the affected content or suspend the service. Where possible we will warn you first.
11. Availability and support
We aim for high availability but cannot guarantee uninterrupted operation. Planned maintenance is announced in advance where possible. Support is provided by email and through the ticket system in the client area.
12. Data protection
We process personal data as described in our Privacy Policy. Where we process personal data on your behalf, we act as your processor. In particular this covers data your AI worker handles about your customers, and data stored in your hosting account. The data processing terms under Article 28 GDPR in the annex to the Privacy Policy then form part of the contract. A signed copy is available on request.
13. Liability
- We are liable without limitation for intent and gross negligence, for injury to life, body or health, and wherever liability cannot be limited by law.
- For slight negligence we are liable only for breach of essential contractual obligations, and only for the foreseeable damage typical for this kind of contract.
- For business customers, total liability per contract year is limited to the fees paid in the 12 months before the damaging event. We are not liable to them for lost profit or indirect damage.
- Mandatory consumer protection law remains unaffected.
14. Changes to these Terms
We may change these Terms for valid reasons, such as new legal requirements or new features. We will email you at least 30 days before a change takes effect. If you object, you can terminate before the change takes effect. If you neither object nor terminate, the change applies to you. We will remind you of this consequence in the notice.
15. Governing law and disputes
- These Terms are governed by the law of the Republic of Bulgaria. Consumers keep the protection of the mandatory laws of the country where they live.
- For business customers, the courts competent for our registered office have exclusive jurisdiction.
- Consumers can also turn to the Bulgarian Commission for Consumer Protection for out-of-court resolution (see the Imprint).
16. Final provisions
If any provision of these Terms is invalid, the rest remains in force. These Terms are available in English, Bulgarian, German, French and Spanish; all versions have the same content, and the contract is concluded in the language you selected at checkout.
