Terms of Service

1. The provider

These Terms of Service govern the ordering and use of AI worker services ("Hermes", "OpenClaw" and related plans) provided by SHOPFILES LTD ("we", "us"), operating the website motov.net. Contact: [email protected].

2. The service

We provide hosted, software-based AI agents configured to perform business tasks described on the product pages. Service capacity, response quality and task coverage depend on the plan ordered and the configuration provided by the customer during the setup interview. The services are aimed primarily at businesses.

3. Ordering and contract formation

Presentation of services on the website is an invitation to order. By clicking the order button ("with obligation to pay"), the customer makes a binding offer. The contract is formed when we confirm the order or begin provisioning. The contract language is the language selected at checkout. The text of the contract is stored and a copy is sent by email.

4. Prices and payment

Prices are stated net of VAT. VAT is applied on the invoice according to the customer's country and status. For business customers with a valid EU VAT number, the reverse-charge mechanism applies where relevant. Fees are billed in advance per billing cycle (monthly or annually) and are payable upon invoice.

5. Term and cancellation

Contracts renew automatically per billing cycle. The customer may cancel at any time with effect from the end of the current paid period via the client portal or by email. Consumers residing in the EU may also use the statutory right of withdrawal (see the Withdrawal Policy).

6. Customer obligations

The customer warrants that data and access provided for the operation of the AI worker may lawfully be processed, and remains responsible for reviewing outputs where a review step is configured. The customer must not use the service for unlawful content or activities.

7. Data protection

We process personal data in accordance with our Privacy Policy and, where we act as processor for the customer, under a data processing agreement pursuant to Art. 28 GDPR.

8. Availability and liability

We aim for high availability but do not warrant uninterrupted operation. We are liable without limitation for intent and gross negligence; for slight negligence only in case of breach of essential contractual duties, limited to the foreseeable, contract-typical damage. Liability for AI-generated outputs is limited to the diligence owed in configuring and operating the agreed review mechanisms.

9. Final provisions

Mandatory consumer protection rules of the customer's country of residence remain unaffected. If any provision is invalid, the remainder stays in force.
